Convening General Meetings within public corporations in Cyprus is a strictly governed statutory sequence under the Cyprus Companies Law, Cap. 113. Specifically, Section 127 defines the structural rules and mandatory timeframes that board directors must deploy to legally notify shareholders.

Statutory Deadlines and Press Mandates

According to Cap. 113, an Annual General Meeting (AGM) demands a written notice window of no less than 21 days. For Extraordinary General Meetings (EGMs), the baseline parameter is 14 days. When an enterprise manages an expansive shareholder register or trades publicly, publishing the formal Notice in the daily press stands as the premier method to anchor legal validity.

The Notice must state with absolute clarity the date, hour, precise geolocated venue, and the complete Agenda. If a "Special Resolution" is to be introduced, its exact literal composition must be printed within the publication. Omitting these operational parameters renders all decisions passed during the session completely voidable under corporate law.
